General Terms & Conditions of eMastering

These General Terms & Conditions (the “Terms”) apply to all offers, quotations, orders, agreements and deliveries of services and deliverables by eMastering, registered at the Dutch Chamber of Commerce under number 54206707, VAT number NL001871724B62, located in Arnhem, The Netherlands. By placing an order via the webshop or otherwise engaging eMastering, the Client agrees to these Terms.

1. Definitions

1.1 “eMastering” means the business operated by Erwin Maas, including its freelancers, contractors and representatives.

1.2 “Client” means any natural or legal person purchasing or commissioning Services from eMastering.

1.3 “Services” means mastering, stem mastering, mixing, production support, consulting, attended sessions, Academy workshops and any related services.

1.4 “Order” means any purchase via the webshop or written confirmation to proceed with Services.

1.5 “Project” means a specific engagement to deliver the Services for one or more audio recordings.

1.6 “Deliverables” or “Masters” means the audio files and/or production assets delivered by eMastering as a result of the Services (e.g., WAV, MP3, DDP, ADM BWF, etc.).

1.7 “Mix” means the stereo (or multichannel) audio file(s) provided by Client as source material for mastering.

1.8 “Stems” means grouped audio submixes provided by Client for stem mastering.

1.9 “Engineer” means the person performing the Services (Erwin Maas or a freelance engineer selected by eMastering).

1.10 “Studio” means the facility in which Services are performed (e.g., The One, The Two).

1.11 “Business Day” means any day other than Saturday, Sunday or Dutch public holidays.

2. Applicability & Priority

2.1 These Terms apply to all legal relations between eMastering and the Client, to the exclusion of any purchase terms of the Client.

2.2 In case of conflict between these Terms and a written agreement or order confirmation from eMastering, the latter shall prevail.

2.3 eMastering may amend these Terms from time to time. The version in force at the time of the Order applies.

3. Offers, Prices & Taxes

3.1 All prices quoted on the website/webshop or in offers are in euros. Prices are inclusive of Dutch VAT for consumers and Dutch-based clients, unless stated otherwise.

3.2 For EU business customers who provide a valid VAT number, the reverse-charge mechanism may apply; for clients outside the EU, VAT may be 0% depending on the rules. The Client is responsible for providing accurate billing details. eMastering may verify VAT numbers and adjust invoices accordingly.

3.3 Prices exclude third-party fees (e.g., payment provider surcharges, shipping of physical media) unless explicitly included.

3.4 eMastering may adjust prices at any time for future Orders. Confirmed Orders are honored at the price shown at checkout or in the written confirmation.

4. Formation of Contract & Client Responsibilities

4.1 A binding agreement is formed when the Client places an Order via the webshop and payment is accepted, or when eMastering confirms in writing that it will perform the Services.

4.2 The Client warrants that it holds all necessary rights and permissions (including copyright and neighboring rights) to provide the audio and to commission mastering, mixing or related Services. The Client indemnifies eMastering against any third-party claims arising from the Client’s materials or instructions.

4.3 The Client is responsible for timely delivery of complete and correct source materials (mixes, stems, notes, references, technical specs). Lead times commence after full payment and receipt of all required materials.

4.4 Where the Client selects a specific Engineer or Studio during checkout, eMastering will use reasonable efforts to honor that selection. If unavailability occurs (illness, technical issues, force majeure), eMastering may assign an equivalent Engineer or Studio after notifying the Client.

5. Delivery, Lead Times & Express Options

5.1 Standard turnaround for a single stereo master is five (5) Business Days. Express options (e.g., 72h, 48h, 24h, 12h) are available at an additional fee where indicated.

5.2 Turnaround times are estimates and depend on timely receipt of complete materials and payment. Material changes (e.g., new mixes) reset the turnaround.

5.3 Deliverables are provided digitally unless otherwise agreed (e.g., DDP for CD manufacture, ADM BWF for immersive).

5.4 eMastering will use reasonable care and skill but is not liable for delays caused by force majeure or third-party failures.

6. Revisions

6.1 Unless stated otherwise on the product page, three revision rounds are included per track. A ‘revision’ means reasonable mastering adjustments based on Client feedback without requiring a new mix.

6.2 Revisions requested due to new or altered mixes, additional stems, or artistic changes beyond mastering adjustments may be quoted as new work or billed at the applicable rate.

6.3 Additional revision rounds are available at the rates shown in the webshop or as quoted.

7. Stem Mastering & Immersive Add‑Ons

7.1 Stem mastering pricing consists of a base fee plus an incremental fee per additional stem, as set out in the webshop. The number of stems must be declared accurately; under‑declaration may lead to additional charges or delay.

7.2 For eligible projects (e.g., ≥ 8 stems), an immersive/Dolby Atmos package may be offered in collaboration with a London‑based partner. Preparation is performed by eMastering; final immersive mixing/mastering is executed by the partner.

7.3 eMastering coordinates the immersive package as a single point of contact. Third‑party partner terms may apply to the immersive portion. Timelines and pricing are ‘on request’ unless explicitly listed in the webshop.

7.4 Liability for the immersive portion performed by the third‑party is limited as per Article 15; eMastering will use reasonable care in partner selection and coordination.

8. Attended Sessions (On‑site / Remote)

8.1 Attended sessions are billed per hour at the rates shown (on‑site and/or remote). Minimum booking units may apply.

8.2 Overtime is billed in half‑hour increments. Setup and file prep may be included in session time.

8.3 Client is responsible for stable remote connections (if applicable). eMastering is not responsible for disruptions outside its control; lost time due to third‑party failures may be rebooked subject to availability and fees.

8.4 Cancellations: up to 48 hours before the session: no fee; within 48 hours: 50% of reserved time; no‑show: 100%.

9. Acceptance & Complaint Window

9.1 Deliverables are deemed accepted when the Client approves them in writing or uses them for release, whichever occurs first.

9.2 If the Client believes the Deliverables are non‑conforming, the Client must notify eMastering in writing within seven (7) calendar days after delivery with a clear description. eMastering will then make reasonable efforts to remedy within the agreed scope (e.g., a revision).

10. Intellectual Property & Credits

10.1 The Client retains all rights in the underlying musical works and sound recordings delivered to eMastering.

10.2 Upon full payment, the Client receives the right to use the Masters for the agreed purposes (e.g., distribution, broadcast). No transfer of copyright from eMastering is implied.

10.3 Unless the Client opts out in writing, eMastering may list the Project in credits/portfolio (including artist name, track/album title, year and links to public releases) for promotional purposes.

10.4 The Client is responsible for correct crediting (e.g., “Mastered by eMastering / Erwin Maas”) where applicable.

10.5 All content on the eMastering website — including text, images, audio samples, graphics, logos, layouts and design — is the exclusive property of eMastering (or its licensors) and protected by copyright and trademark law. Copying, reproducing, distributing, modifying or publicly displaying any part of the website content without prior written consent is strictly prohibited.

10.6 The eMastering name, brand and logo are protected marks and may not be used without permission. Nothing in these Terms grants ownership in eMastering’s intellectual property.

11. Data, Archiving & Privacy

11.1 eMastering treats Client materials as confidential and uses them solely to perform the Services.

11.2 Uploaded audio files may be stored for project completion and secure archiving, allowing re‑delivery or future updates. Files can be deleted upon written request, subject to reasonable processing time.

11.3 Data is handled in accordance with eMastering’s Privacy Policy as published on the website. Use of third‑party tools (e.g., Dropbox, WeTransfer, Samply) may be subject to their terms.

12. Payment Terms

12.1 Unless stated otherwise, Services are prepaid via the webshop or invoice. Work commences after receipt of payment and all required materials.

12.2 If payment fails or is reversed (chargeback), eMastering may suspend delivery and revoke any license to use the Deliverables until the outstanding balance is settled.

12.3 For invoice‑based engagements, payment terms are fourteen (14) days net unless agreed otherwise. Late payments may incur statutory interest and reasonable collection costs.

13. Cancellations, Refunds & Right of Withdrawal

13.1 As Services are custom and digital in nature, refunds are generally not possible once work has started. Prior to commencement, an Order may be canceled for a refund minus any administrative costs.

13.2 EU consumer right of withdrawal: if applicable, the Client acknowledges that the right of withdrawal lapses once performance of the Services begins with the Client’s express consent.

13.3 Express delivery fees and third‑party charges are non‑refundable once incurred.

14. Warranties & Artistic Judgment

14.1 eMastering provides Services with reasonable care and skill, consistent with professional practice. However, mastering is an artistic process; outcomes are subjective and dependent on the quality of the source materials.

14.2 eMastering does not warrant any specific commercial outcome (e.g., chart positions, playlisting, broadcast placement).

15. Liability & Indemnity

15.1 eMastering is not liable for indirect, incidental, consequential or punitive damages, including lost profits, goodwill or anticipated savings.

15.2 To the fullest extent permitted by law, eMastering’s aggregate liability arising out of or in connection with a Project is limited to the amount paid by the Client for the relevant Services.

15.3 The Client shall indemnify and hold harmless eMastering against claims from third parties arising from the Client’s materials, instructions, or breach of these Terms.

15.4 For third‑party services (e.g., immersive partner), eMastering’s liability is limited to reasonable coordination; the partner remains responsible for its own performance.

16. Force Majeure

16.1 eMastering is not liable for delay or non‑performance caused by events beyond its reasonable control, including but not limited to illness, power outages, network failures, pandemics, governmental measures, strikes or acts of God.

16.2 In such case, timelines will be extended reasonably or the parties may agree to reschedule or partially cancel against fair compensation for work already performed.

17. Non‑Solicitation

17.1 During the Project and for twelve (12) months thereafter, the Client will not solicit or employ eMastering’s freelance engineers for directly competing services without prior written consent.

18. Governing Law & Jurisdiction

18.1 These Terms and any dispute arising out of or in connection with them are governed by Dutch law.

18.2 The competent court in the district of Gelderland (location Arnhem), the Netherlands, shall have exclusive jurisdiction, without prejudice to mandatory consumer protection rules.

19. Miscellaneous

19.1 If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.

19.2 Failure to enforce any provision shall not constitute a waiver.

19.3 Headings are for convenience only and do not affect interpretation.

19.4 The English version of these Terms prevails; translations are for convenience.
